Effective October 19, 2026
Terms & Conditions
These Terms govern access to Wellnessivity’s United States website, employer subscription, organization portals, and employee wellness experience.
Agreeing to these terms
These terms are with Wellnessivity, LLC (“we”). You agree to them when you create an organization account, accept an invitation, enroll an employer, or use the service.
If you enroll or administer an organization, you confirm that you can legally enter this agreement, have authority to bind the organization, and will provide accurate company, billing, and administrative-contact information. Organization account holders must be at least 18 or otherwise legally able to enter this agreement.
Who an employer subscription covers
Wellnessivity provides educational wellness content, monthly campaign materials, Pathways, the Wellness Library, and organization tools. An employer subscription covers the subscribing company's direct employees, including full-time, part-time, temporary, and seasonal employees.
Unless we agree otherwise in writing, it does not cover independent contractors, outside workers, customers, the public, unrelated entities, or employees of a parent, subsidiary, or affiliate without its own authorization.
Protecting accounts and employee access
Organization users must protect their login details and promptly tell us about a suspected compromise. Employers must share campaign links, QR codes, and workplace codes only with their authorized direct employees. Tell us if a credential reaches someone outside that workforce or is otherwise compromised. We may rotate or revoke it.
Employees do not create application accounts. Employers must not try to identify an employee's reading, searches, content choices, Pathway use, or other individual wellness activity through the service.
Keep health information and rosters out of the service
Wellnessivity is not a healthcare record system. Do not upload or send employee rosters, medical records, diagnoses, treatment information, or other protected health information. When contacting support, describe the technical or account issue without personal health details.
Subscription price, renewal, and taxes
Your fees, billing frequency, taxes, renewal terms, and approved promotions are shown at Checkout or in your applicable written order. Unless stated otherwise, your subscription renews automatically for successive billing periods until canceled.
Employers pay for their subscriptions. A separately approved brokerage-paid arrangement may be recorded in an order or partner agreement.
We normally give at least 30 days' notice before increasing a subscription price. The increase takes effect on a later renewal.
Cancellation, failed payments, and refunds
An authorized employer owner or administrator may cancel through the available billing-management process. Cancellation normally takes effect at the end of the current paid billing period.
Payments are non-refundable and are not prorated unless the law requires otherwise or we expressly approve an exception.
After a failed payment, we may provide the documented seven-day billing grace period before employee access ends. Repeated failures do not restart that period. Access may end sooner for fraud, security threats, unlawful use, or credential abuse.
How you may use our content
While your subscription entitlement is active, we give the subscribing employer a limited, nonexclusive, nontransferable license to provide authorized direct employees with service access. HR users may customize the prepared rollout emails and reproduce provided posters internally for that workforce.
Without written permission, you may not republish, resell, sublicense, publicly distribute, scrape, or materially alter our articles, Quick Hits, Pathways, artwork, software, or other substantive materials. Wellnessivity and its licensors keep all rights not expressly granted here.
Educational information and your health
Wellnessivity provides general education, not medical diagnosis, treatment, psychotherapy, emergency services, or individualized professional advice. The Health Disclaimer applies. Using the service does not create a clinician-patient relationship or guarantee a health outcome.
Other websites and services
External services—including MD Anderson, Johns Hopkins Medicine, Mayo Clinic, NLM/NIH, Cedars-Sinai, cited sources, and Stripe—have their own terms and privacy practices. We provide links for convenience and research.
We do not control or guarantee their content, availability, security, or privacy practices. A link does not mean sponsorship or endorsement.
Uses we do not allow
Do not use the service to break the law, infringe rights, introduce malware, bypass authorization, test or exploit vulnerabilities without written permission, interfere with operation, harvest information, impersonate someone, share access outside the authorized workforce, or automatically copy substantial portions of the service.
When access may end
We may suspend or end access for nonpayment after any applicable grace period, credential abuse, security threats, unlawful activity, or a material violation of these terms.
We may also discontinue an organization's subscription without cause on at least 30 days' notice. In that case, we will honor or refund any unused prepaid period as appropriate.
After subscription entitlement ends, organization administrators may keep limited access to billing records, support, and account administration. Employee content, campaign materials, and distribution credentials become unavailable after the paid period and any applicable grace period.
Availability and support
We make commercially reasonable efforts to operate, maintain, secure, and support the service. We do not promise a formal uptime or support-response service level. Maintenance, provider outages, security events, and circumstances beyond reasonable control may interrupt availability.
What we do and do not guarantee
To the fullest extent the law allows, we provide the service and educational content “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. These are legal warranties about ordinary commercial suitability, suitability for your particular purpose, ownership, and freedom from infringement.
We do not guarantee uninterrupted operation, error-free content, diagnostic accuracy for an individual, a particular health outcome, or suitability for a specific medical purpose. Any rights the law does not allow us to disclaim remain in place.
Limits on our liability
To the fullest extent the law allows, Wellnessivity is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.
Our total liability arising from the service or these terms is limited to the subscription fees paid for the affected service during the 12 months before the event giving rise to the claim. These exclusions and limits do not apply where the law prohibits them.
Claims caused by your organization's conduct
The subscribing organization must defend Wellnessivity against third-party claims and cover the resulting damages and reasonable costs to the extent caused by its unlawful use, unauthorized credential distribution, submitted material, or material violation of these terms. This is the organization's indemnity obligation; it applies only to the extent its conduct caused the claim.
Brokerage and referral-partner arrangements
These general terms cover use of brokerage and referral-partner portals. They do not create commission, payout, attribution, exclusivity, or other commercial rights. Those rights and obligations come from the applicable written brokerage or referral-partner agreement.
Resolving disputes
Before filing a claim, both parties will try in good faith to resolve the dispute for 30 days after written notice.
Utah law governs these terms, without applying conflict-of-law rules. Unresolved claims must be brought in state or federal courts with jurisdiction in Utah, and each party agrees to those courts, unless applicable law requires otherwise.
If these terms change
We normally give 30 days' advance notice of material changes. Changes reasonably needed for security, fraud prevention, or law may take effect immediately.
Continued use of the organization account after the effective date means acceptance of the updated terms. If your organization does not agree, its remedy is to stop using and cancel the service.
